1.1.These Terms regulate the relationships that have to do with the use of the website https://www.businessshop.ai/ (hereinafter, the “Website”).

1.2.The following terminology applies to these Terms:

2.1.By using the Website, you accept these Terms and agree that you are responsible for compliance with all applicable laws and regulations.

2.2.Accepting the terms of the Classic Exchange option, also called "Classic Exchange Rate", means that you acknowledge and accept the information about the Exchange rates.

2.3.Business Shop will complete the exchange if the following requirements are met: • We receive the crypto asset shortly after the User created the exchange. It is important to note that a payment transmitted to the blockchain network does not mean that Business Shop accepts this payment. We determine the number of payment confirmations based on the blockchain. • The user sent the crypto asset to a specially generated address on the exchange page. The addresses for each exchange are disposable and cannot be used again. • The user sent the exact amount that was displayed on the website, to the correct wallet and network, and took into account all relevant withdrawal fees and network fees. If the situation allows for an exchange, the transaction will be carried out according to the rules of the classic exchange rate. If the market situation is such that the transaction can no longer be executed, the crypto assets will be refunded, if possible, minus all applicable fees. All transactions will be made in accordance with the rules of Classic Rate Exchange.

2.4.When you exchange cryptoassets, you acknowledge and agree that we cooperate with third-party liquidity providers and may use their services to complete the exchange.

2.5.For exchange through our Services, our system automatically generates a unique address.

2.6.The website provides custodial services, which means we store your digital assets.

2.7.By accepting these Terms and using the Website, you represent and warrant that: is at least 18 years old and has full capacity to contract under applicable law; are not located in, under the control of, or are a national or resident of the prohibited jurisdictions (Section 10 below); you are only transacting on the Website with legally obtained funds that rightfully belong to you; you have not previously been suspended or removed from using the website and our services; you are not promoting, carrying out, undertaking, participating in, aiding or abetting any illegal activity through your relationship with us or through your use of the website and our services; you are complying with and obeying these Terms and all applicable laws; you will use the website and our services only for purposes related to personal non-commercial use and does not represent any third party; you understand that participating in the exchange of Cryptocurrency may be risky; You acknowledge and agree that Business Shop is not acting as your broker, dealer, agent, advisor or in any fiduciary capacity, and no communication or information provided to you by Business Shop shall be deemed or construed as advice; will not mislead other Users and third parties during the use of the Website; will not take any action aimed solely at causing harm to Business Shop or other third parties; you will not reverse engineer, decompile or otherwise disassemble the website or any Business Shop software; Recognizing the international nature of the Internet, you accept full responsibility for compliance with all local laws and regulations relating to your actions on the network; you agree and consent to receive electronically all communications, agreements, documents, receipts, notices and disclosures that Business Shop provides in connection with your use of the website and our services; you understand and acknowledge that any delay in services is possible; You should not use a proxy, VPN or other software to hide your IP address.

2.8.The website is accessible 24 hours a day, 7 days a week. However, Business Shop reserves the right, without prior notice or compensation, to temporarily suspend the Website or access to the Website in order to carry out work including, but not limited to: updates, maintenance operations and modification of servers, etc.

2.9.In order to protect the integrity of the Website, Business Shop reserves the right at any time, in its sole discretion, to block users who violate these Terms.

3.1.Users do not need to register or log in to view the Website. However, to use the system services or carry out operations, they must register on the platform and go through KYC verification.

3.2.By accepting these Terms, you agree to go through the AML/KYC procedure, which may be applied to you or Business Shop may request at any time.

3.3.During the AML/KYC procedure, Business Shop reserves the right to request additional information and documents, including but not limited to scanning your ID valid in your country and additional information on the origin of funds.

3.4.In limited cases (such as to verify your identity to pass the AML/KYC procedure), we reserve the right to freeze your exchange transaction for any period of time necessary to complete the AML/KYC investigation and procedure. While the investigation is ongoing, Business Shop reserves the right to transfer frozen funds to cold storage. It would be done to guarantee its custody.

3.5.If you refuse to go through the AML/KYC procedure or do not provide Business Shop with the requested documents and information, Business Shop has the right to refuse to execute your transactions (current and future).

3.6.By accepting these Terms, you agree and warrant to provide true, accurate, current and complete information about yourself and assume full responsibility for its accuracy, completeness and truthfulness.

3.8.1If a User's exchange was stopped for a KYC verification due to an alert from Business Shop's risk management system, Business Shop provides the User with a link where they can safely pass the verification procedure.

3.8.2The verification time window is 3 days, and the User can refuse to go through the procedure; In that case, the User will not be able to operate. In limited cases (if the transaction is suspected to be related to illegal activities), we reserve the right to freeze funds, and ongoing transactions for any period of time necessary to complete the AML/KYC investigation and procedure.

4.1.By accepting these Terms, you expressly allow Business Shop to process your personal data, export your personal data outside of the jurisdiction in which you reside or are located.

4.2.We have the right to transfer some User data (including IP addresses) to our business partners or government bodies at your request to facilitate the prevention and disclosure of prohibited or illegal actions. By accepting these Terms, you acknowledge and agree that your personal data may be transferred in this way.

5.1.Cryptocurrencies and digital assets are highly experimental and risky.

5.2.The Business Shop conversion service attempts to provide accurate price and exchange rate information, but this information is very volatile and can change rapidly without Users necessarily being aware of these changes.

5.3.The value resulting from any asset conversion will be calculated at the time the payment is made, strictly following the exchange rules according to the Classic rate. Confirmation of payment will generally be considered "accepted" by us. It is essential to remember that the transmission of a payment to the blockchain network does not imply acceptance by Business Shop of said payment.

5.4.Business Shop's interest (Business Shop's remuneration for the use of its services and/or the Website) is included in the final fee for the User's exchange transactions. No additional fees need to be paid directly to Business Shop, unless otherwise stated in these Terms.

5.5.Please contact customer service (hello@businessshop.ai) for more information on exchange rates and prices.

5.6.Please note that for blockchain technology, network fees are subject to change. The network fee will be calculated at the time you make the deposit and not when your exchange has been created. Likewise, if you send a deposit amount that differs from that specified during exchange creation, we cannot guarantee that network fees will not affect the amount of cryptocurrency you will receive.

5.7.Taxes. It is your responsibility to determine what taxes, if any, apply to changes you complete through the Website and our Services, and it is your responsibility to report and remit the correct tax to the appropriate tax authority. You agree that Business Shop is not responsible for determining whether taxes apply to your exchanges or for collecting, reporting, withholding or remitting taxes arising from any transaction.

6.1.Cryptocurrencies and digital assets are, by their nature, generally irreversible, and their exchange rates are highly volatile and transitory. We cannot be responsible for any risks in the use of the website, including, but not limited to, exchange rate risk and market risk. All Business Shop post-exchange sales and transactions are final and the amount is non-refundable.

6.2.If an error occurs in the exchange or the user interface during the transaction, the "Order Status" page on the website will indicate whether or not the exchange failure will result in a refund of the digital asset that the user had deposited for exchange or the digital asset that the user was exchanging.

6.3.The digital asset deposited by the user will be refunded to the user if the "Order Status" page: indicates that the exchange failed by displaying the message "failed"; or, whenever the exchange is stuck in the stages of "exchange waiting", "pending confirmations" or "deposit waiting" or any non-terminal status such as "in process" or "sending" or similar that do not indicate a final state, you must wait for the exchange to be completed or to be determined by a defining state as completed or failed to proceed accordingly depending on which case.

6.4.The Outgoing Digital Asset will be exchanged and shipped to the User if the “Order Status” page indicates a successful exchange by displaying “Done” or “Completed.”

6.5.Any decision by Business Shop regarding refunds or exchanges is final.

6.6.All transactions from Business Shop to User's outgoing digital asset wallet will be subject to all published fees. The Digital Asset extraction process may take up to twenty (20) business days. If the User wishes to expedite this process, additional charges may apply. Unsupported digital assets that are deposited into our system in unrelated wallets cannot be withdrawn or returned. Business Shop reserves the right to handle this on a case-by-case basis. Operating expenses, commissions and other charges that may be incurred during each case will be covered exclusively by the User. Any decisions by Business Shop regarding such Digital Assets being deposited when they are no longer supported are final. Transactions below the minimum limits determined on the website cannot be completed. When the User provides a destination address, this is the only address to which outgoing funds can be sent. Any decision by Business Shop regarding refunds in these circumstances is final. When the User requests the refund, it will be sent to the refund address specified at the creation of the exchange only. To request a refund, the User must contact the Business Shop support team as long as the refund has not been made automatically at (privacy@businessshop.ai). Any decision by Business Shop regarding refunds is final. WARNING: There are fake websites impersonating the Business Shop website (also known as "phishing scams"). They use a misspelled URL that looks like "Businessshop.ai" to deceive Users so that they can send them funds. DO NOT USE ANY SERVICE THAT IS NOT EXACTLY LOCATED ON THE DOMAIN: “Businessshop.ai”. Business Shop is not responsible for any funds sent to these fake phishing sites. It is important that all Users verify that they are visiting the correct URL (Businessshop.ai) on their own and look for the security certificate in the URL bar of their browser. Additionally, never trust private messages, requests or requests for funds from people claiming to be Business Shop unless you have verified that it is an official request from a Business Shop employee.

6.7.If there is any change in the cryptocurrency market and the User decides to take advantage of the vulnerability of the website, Businessshop cannot complete the exchange transactions of said User and will return the Cryptocurrency and apply the sanctions that Business Shop deems appropriate.

6.8.Based on reports from victims of financial theft, in limited cases, Business Shop may detain funds stolen from a customer or business. Please note that the transaction may stop after the negotiation stage, depending on the time the report was received. In such cases, we may return the funds in the asset to which the exchange was made (to currency). To return such funds, Business Shop will require a request from a law enforcement authority, clearly stating that the aforementioned funds must be returned. The printed copy of the application must be sent to our postal address: Calle Pargo 500, Costa de Oro, Boca del Rio, between Calle Ave Mantarraya and Calle La Blanquilla, Veracruz, Mexico. Please send a digital copy of the request to privacy@businessshop.ai before submitting the paper request. Once the hard copy is received, we can issue a refund to a refund address specified in the exchange or in the request sent by the competent authority.

6.10.In limited cases, Business Shop may store User's funds. The period during which Business Shop stores the User's funds is limited to 1 calendar year. After that, Business Shop cannot guarantee custody of unclaimed funds.

6.11.Fake chips or imitation chips mean chips that have no value. Despite mimicking the existing project and having the same name or logo, such tokens do not have the project's contract address. Business Shop verifies the submitted token contract and if it does not match the official token contract, the system will not recognize the deposit. Should you receive counterfeit tokens or imitation tokens to your deposit address, Business Shop will not exchange or return such tokens.

6.12.Business Shop accepts only one deposit per exchange created, which means you cannot simultaneously create multiple exchange transactions and send funds to multiple deposit addresses in one transfer (transaction hash) if applicable.

6.13.Please note that we cannot guarantee refunds in the event that a cryptocurrency is delisted or devalued. Additionally, if a user is under investigation by law enforcement or if there are other reasons to withhold funds, we cannot guarantee refunds. We want to make it clear that we are not responsible for any loss of value of the cryptocurrency during the holding period and we are not obliged to provide compensation.

7.1.You agree to hold harmless and indemnify Business Shop from and against any third party claims arising out of or related in any way to: your breach of the Terms; your violation of any applicable laws, rules or regulations in relation to the website and our services, including any liability or expense arising from all claims, losses, damages (actual and consequential), judgments, litigation costs of all kinds and nature. If in doubt, please contact us directly to verify any messages. Please be diligent and report any phishing scams to our privacy@businessshop.ai team.

8.1.Nothing in these terms excludes or limits Business Shop's warranty or liability for losses that cannot legally be excluded or limited by applicable law.

8.2.You expressly understand and agree that your use of the website and our service is at your own risk and that the website services are provided "as is" and "as available" without warranties of any kind, either express or implied.

8.3.To the maximum extent permitted by applicable law, Business Shop makes no express warranties and disclaims all implied warranties with respect to the website, services or any external applications or sites, including implied warranties of merchantability, fitness for a particular purpose , non-violation correctness, and reliability.

8.4.Without limiting the generality of the foregoing, Business Shop does not represent or warrant that: (a) your use of the Website and Services will meet your requirements, (b) your use of the Website and Services will be uninterrupted, timely, secure or free of errors, (c) the data provided through the website will be accurate or (d) the website or any content available on or through the website is free of viruses or other harmful components.

9.1.Subject to section 8 above, you understand and agree that Business Shop will not be liable to you for any indirect, incidental, special consequential or exemplary damages that you may suffer, regardless of the cause and under any theory of liability, including, without limitation, any loss of profits (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services or other intangible loss, even if Business Shop has been advised of the possibility of such damages.

9.2.The above limitations of liability will apply whether the alleged liability or losses are based on contract, negligence, tort, strict liability or any other basis.

10.1.By accessing and using the Business Shop services and the Website, you represent and warrant that you are not located in, or a citizen or resident of, the United States of America, or a country subject to the United Nations Sanctions Lists and its equivalent, or a country where the use of cryptocurrencies is prohibited by applicable law.

10.2.Business Shop maintains the right to select its markets and jurisdictions to operate and may restrict or deny its services to certain countries.

10.3.Business Shop also reserves the right to use various methods to prevent the use of the Website and its services by the Users mentioned above. You must comply with this Section even if Business Shop's methods of preventing use of its services and website are ineffective or can be circumvented.

10.4.Business Shop may seize Users' funds in these jurisdictions and donate them to a charity at its sole discretion.

10.5.Use of the Website is void where prohibited by applicable law.

10.6.Business Shop has the right to obtain your IP address. If the IP address is assigned in the prohibited jurisdiction, Business Shop may deny you access to the website and the provision of services.

11.1.Use of the website may involve risk.

11.2.By accessing or using the Website, you agree that you will not violate any law, contract, intellectual property or other third party right or commit any unlawful act, and that you are solely responsible for your conduct while using the Website and our services.

11.3.Without limiting the generality of the foregoing, you agree that you will not: damage, disable, overburden or impair the operation of the Website in any way; use the website and our services to pay for, support or participate in any illegal activity (such as illegal gambling activities, fraud, money laundering or terrorist activities); use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Website or extract data; You will not distribute viruses, worms, defects, Trojan horses, corrupted files, cheats or anything else of a destructive or misleading nature.

12.4.Upon termination of these Terms, Sections 2 through 11, 14 through 17 will survive.

13.1.Business Shop constantly changes and improves the website and its services.

13.2.Business Shop has the right to add or remove functionality or features from the Website, or add or create new limits to use of the Website and its services at any time.

14.1.These Terms are governed by the laws of Mexico. These Terms shall be treated in all respects as a Mexico contract.

14.2.You and we irrevocably and unconditionally submit to the exclusive jurisdiction, venue and forum of Mexico, and to all courts competent to hear appeals.

15.1.The Website may contain links or provide access to third party sites and content displayed on such sites that is the result of the intellectual activity of third parties and is protected in accordance with applicable laws. Business Shop does not check these sites and the content displayed on them for compliance with applicable laws. Business Shop is not responsible for any information or content displayed on such sites that the user has access to through the website, including any opinions or statements expressed on such third-party sites.

15.2.The User confirms that, since the User will go to the link on the Website to the third party site, the relations between Business Shop and the User will end and Business Shop is not responsible for the accuracy of the information displayed on the websites of third parties, the use of third-party services and content by the User, the validity of said use and the quality of the services and content displayed on third-party sites.

16.1.Use of the Website does not give you ownership of any intellectual property rights in the Website, any software or the content you access.

16.2.The materials contained in the Website are protected by applicable copyright and trademark laws and treaties.

16.3.The use of search queries comprising a direct domain name or brand name such as (but not limited to), Businessshop.io, Business Shop, etc. is prohibited.

17.1.Business Shop reserves the right to change, amend or modify these Terms at any time. We will provide you notice of such changes by updating the "Last updated" date at the top of these Terms. The updated Terms will be effective immediately upon posting on the Website.

17.2.By using the Website, you agree to be bound by the then-current version of these Terms. Continued use of the Website following the making of changes or amendments to these Terms hereby signifies the User's acceptance of such changes or amendments and, therefore, the User shall regularly monitor changes to these Terms.

18.1.Business Shop may transfer the rights and obligations under these Terms to third parties without the User's further consent.

18.2.The User has the right to assign its rights and obligations under these Terms to any third party only with the prior written consent of Business Shop.

These Terms constitute the entire agreement between the Parties and supersede any prior arrangements or agreements between them in relation to the transactions contemplated by these Terms.

20.1.If any provision of these Terms is or becomes illegal, invalid or unenforceable in any respect under the law of any relevant jurisdiction, such provision will be deemed severed from these Terms and will be replaced by one having effect as close as possible to the provision deficient.

20.2.The remaining provisions of these Terms will remain in full force and effect.

21.1.From time to time, Business Shop may need to spend time resolving issues brought to us by Users. Where any User's problem is not caused by our negligence or carelessness, we reserve the right to recover reasonable administrative costs spent to address the User's problem.

21.2.Except as otherwise provided in these Terms, each Party shall bear its own costs and expenses in connection with the negotiation, preparation and performance of these Terms.

22.1.Nothing in these Terms shall be construed to create a joint venture, agency relationship or legal partnership between the Parties.

22.2.Business Shop has the right to involve third parties to fulfill its obligations.
